Terms of Service

Welcome to Beam Networks Cloud. These Terms of Service ("Terms")
govern your access to and use of our colocation, S3-compatible
storage, Virtual Machine (VM), and Managed WordPress hosting services
(collectively, the "Services"). By using our Services, you agree to
be bound by these Terms, our Acceptable Use Policy, and our Privacy
Policy. If you do not agree to these Terms, do not use our Services.
1. Best Effort Service & Uptime Discount Policy
Beam Networks Cloud operates on a "best effort" service model. This
means we commit to deploying commercially reasonable efforts to
maintain service availability and performance. Given our focus on
providing highly affordable and transparent infrastructure, we do not
offer Service Level Agreements (SLAs) with specific uptime guarantees
typical of higher-cost, enterprise-grade providers.
While we do not guarantee uptime, we are committed to providing a
credit if core services experience significant, verifiable downtime:

Covered Services: This policy applies to your
individual paid colocation unit(s), VM instances, S3 storage, and
Managed WordPress instances.

Downtime Measurement: Downtime is exclusively
measured by Beam Networks Cloud’s internal monitoring systems for
core infrastructure (e.g., power, cooling, internet uplink to our
facility). Downtime of individual customer equipment (e.g., your
server in colocation, software issues on your VM) or services
impacted by your own actions is not covered. Scheduled maintenance
will be announced in advance and is not considered downtime.

Eligibility Threshold (General Services): If an
eligible paid service (excluding colocation power) experiences
four (4) continuous hours or more of unplanned,
verifiable downtime within a single calendar month due to a Beam
Networks Cloud core infrastructure failure, you may be eligible for a
discount.

Discount Application (General Services): For every
full 24-hour period of cumulative eligible downtime for a specific
service in a calendar month, we will apply a credit of up to
90% of that specific service's monthly cost to your
next invoice. The maximum discount for any single service in a
month is 90% of its monthly cost.

Colocation Power Outage Discount: For colocation
services, if a verifiable power outage to your unit(s) due to Beam
Networks Cloud's core infrastructure failure exceeds
one (1) continuous hour in a calendar month, you may
be eligible for a discount. For every continuous hour of such an
outage, a credit of up to 5% of your colocation unit's
monthly cost will be applied, up to a maximum of
80% of that specific colocation unit's monthly cost
for the month.

Claim Process: To request a credit, you must submit
a support ticket within seven (7) days following the end of the
affected calendar month. Please provide details of the service and
the observed downtime period. All claims are subject to verification
against our internal monitoring logs.

Sole Remedy: This discount is the sole and exclusive
remedy for any service unavailability or performance issues.
2. Account Registration and Eligibility

You must be at least 18 years old and capable of forming a binding
contract.

You agree to provide accurate, current, and complete information
during registration and to keep it updated.

Access to our services is limited to individuals and entities not
prohibited by U.S. law, including those in sanctioned countries
(e.g., China, Iran, Russia, North Korea, etc.) or on restricted
entity lists (e.g., OFAC SDN List).

Beam Networks Cloud reserves the right to refuse or terminate
service to anyone, for any reason, at our sole discretion.
3. Billing and Payments

Services are billed in advance on a recurring basis as per your
chosen billing cycle.

Payments are due promptly on the invoice due date. Invoices unpaid
for more than 7 days past their due date are considered delinquent.

Account Termination for Non-Payment: If an account
remains delinquent for more than 7 days, Beam Networks Cloud may,
at its sole discretion, suspend or permanently terminate all
associated services without further notice.

Data Deletion on Termination: Upon termination for
any reason, all associated data (including VMs, storage contents,
backups, etc.) will be permanently and irreversibly deleted. Beam
Networks Cloud is not liable for any data loss resulting from
service termination due to non-payment or policy violations.

Collection Efforts: Unpaid balances may be
referred to third-party collection agencies or pursued legally. You
agree to be responsible for all associated collection fees and legal
costs.

No Chargebacks: You agree not to initiate
chargebacks or payment disputes. Such actions may lead to immediate
account termination and legal action to recover costs.
4. Colocation Specific Terms

Power Consumption: Our colocation services include
a baseline power allocation intended for standard 1U or 2U server
equipment. Power consumption above this baseline, or for equipment
deemed to exceed the intended use for your purchased unit size, will
be metered and billed at a rate of $0.15 per kWh,
payable monthly in addition to your standard colocation fee. Power
metering data will be made available to customers via our website or
client portal.

Shipping Responsibilities:

Customers are responsible for arranging and covering all shipping
costs to send their equipment to our Northern Indiana colocation
facility at the beginning of the service term.

Customers are also responsible for arranging and covering all
shipping costs for the return of their equipment at the end of
the service term, regardless of the reason for termination.

If Beam Networks Cloud, at its sole discretion, determines that
a customer's equipment or its use is unfit for our service (e.g.,
due to excessive power draw not covered by additional fees,
repeated policy violations, or other operational concerns), we
reserve the right to terminate the colocation service early. In
such cases of early termination due to customer breach of these
Terms or our AUP, the customer remains responsible for all return
shipping costs from our Northern Indiana facility.

Should Beam Networks Cloud initiate early termination of the
colocation service for reasons unrelated to customer breach
(e.g., discontinuation of the colocation service offering), we
will cover the reasonable cost of returning the customer's
equipment from our Northern Indiana facility.
5. Price Changes
Beam Networks Cloud reserves the right to modify service pricing at
any time. For existing customers, price increases will be communicated
via email with advance notice. Your continued use of Services after a
price change constitutes acceptance of the new pricing. If you do not
agree, you must cancel your service before the new pricing takes
effect.
6. Refunds
Refunds are not guaranteed and are issued solely at the discretion of
Beam Networks Cloud on a case-by-case basis. Generally, all payments
are final and non-refundable, particularly in cases of service
termination due to policy violations, non-payment, or a substantial
portion of the service period having been used.
7. User Conduct and Responsibilities

You are solely responsible for all content stored, transmitted, or
accessed via your Services.

You must comply with all applicable U.S. federal, state, and local
laws and regulations.

You are responsible for securing your account credentials and for
any activity under your account.

You agree to use our Services in a manner consistent with our
Acceptable Use Policy.
8. Support Policy
Beam Networks Cloud provides support to assist with service-related
inquiries and issues. Our support operates on a "best effort" basis
for non-critical issues, meaning we prioritize and address them as
efficiently as possible without specific response time guarantees.

Critical Issues: For critical issues, particularly
those impacting core services (e.g., a power outage impacting your
colocated gear, or a VM node failure) that are reasonably determined
to be caused by Beam Networks Cloud's error or infrastructure, we
commit to responding and initiating troubleshooting within
eight (8) hours of receiving your notification.

Discretionary Charges: We reserve the right to
charge for support if, in our sole discretion, a customer's support
requests are deemed to be frequently time-wasting, excessive, or
fall outside the scope of reasonable best-effort assistance. Such
charges will be communicated to the customer prior to their
application.

Scope of Support: Our support covers issues directly
related to the functionality and availability of Beam Networks
Cloud's infrastructure and services. It does not extend to
troubleshooting software configured within your VMs, issues with your
own colocated equipment (beyond basic remote hands requests), or
general IT support for your internal operations, unless specifically
agreed upon.
9. Disclaimers and Limitation of Liability
Services are provided "as is" and "as available" without warranties
of any kind, express or implied. Beam Networks Cloud does not warrant
that Services will be uninterrupted, error-free, or completely
secure.
To the maximum extent permitted by law, Beam Networks Cloud shall not
be liable for any indirect, incidental, special, consequential, or
punitive damages, or any loss of profits or revenues, whether incurred
directly or indirectly, or any loss of data, use, goodwill, or other
intangible losses, resulting from (a) your access to or use of or
inability to access or use the Services; (b) any conduct or content of
any third party on the Services; (c) any content obtained from the
Services; or (d) unauthorized access, use, or alteration of your
transmissions or content.
Our total liability for any claim arising out of or relating to these
Terms or your use of the Services will not exceed the amount you paid
us for the Services in the six (6) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Beam Networks
Cloud, its affiliates, officers, directors, employees, and agents
from and against any and all claims, damages, obligations, losses,
liabilities, costs, or debt, and expenses (including but not limited
to attorney's fees) arising from: (a) your use of and access to the
Services; (b) your violation of any term of these Terms or the
Acceptable Use Policy; (c) your violation of any third-party right,
including without limitation any copyright, property, or privacy
right; or (d) any claim that your content caused damage to a third
party.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the
laws of the United States. Any disputes arising under these Terms shall
be resolved in a court of competent jurisdiction within the United
States.
12. Changes to Terms
Beam Networks Cloud reserves the right to modify these Terms at any
time. We will post changes on this page and update the "Last updated"
date. Your continued use of the Services after any modification
constitutes your acceptance of the revised Terms.
Acceptable Use Policy

This Acceptable Use Policy ("AUP") outlines the prohibited activities
for all services provided by Beam Networks Cloud. Compliance with
this AUP is mandatory. Violations may result in immediate service
suspension or termination without refund.
1. Prohibited Activities
You agree not to use our Services for any illegal, harmful, or abusive
activities, including but not limited to:

Illegal Content/Activities: Hosting, distributing,
or promoting any content or engaging in activities that are illegal
under U.S. federal, state, or local laws. This includes, but is not
limited to, child exploitation, terrorism, controlled substances,
and copyright infringement.

Harmful or Malicious Activities:
-
Engaging in hacking, phishing, fraud, malware distribution, or
any activity that compromises the security or integrity of
networks, systems, or data.
-
Launching or participating in Distributed Denial-of-Service
(DDoS) attacks, botnets, or any form of network abuse against
any entity.
-
Bruteforce attempts against any Beam Networks Cloud
infrastructure (e.g., login portals, APIs, our network devices)
or third-party systems. This includes systematic guessing of
credentials or repeated unauthorized access attempts.

Unsolicited Communications: Sending spam, conducting
unsolicited bulk messaging (UCE/UBE), or engaging in deceptive
advertising practices.

Intellectual Property Violation: Violating the
intellectual property rights of others (e.g., trademarks,
copyrights, patents, trade secrets).

Network Abuse: Any activity that degrades the
network performance or service quality for other users, or places an
undue burden on our infrastructure. This includes excessive
sustained bandwidth consumption beyond reasonable fair use for your
plan.

Hosting Prohibited Services: Operating public VPNs,
open proxies, Tor exit nodes, email relays, or similar services that
facilitate abuse unless explicitly permitted by your service
agreement and configured securely.

Resource Misuse: Attempts to bypass or manipulate
service resource limits (e.g., storage quotas, bandwidth caps, CPU
limits) through obfuscation or other means.
2. Network Bandwidth Fair Use
All Services are subject to fair use limits on network bandwidth
consumption to ensure stable performance for all users. While
occasional high-traffic spikes for legitimate purposes (e.g., backups,
software updates) are generally acceptable, sustained, excessive
bandwidth consumption that significantly impacts shared network
resources is prohibited.
Virtual Machine Bandwidth Guidelines (Per Instance):
Your Virtual Machine plan includes a dedicated bandwidth allocation
and a burstable speed. While we strive to provide your dedicated and
burstable speeds, prolonged usage significantly impacting shared
network resources may be subject to fair use review.

Virtual Machine - Starter: 2 vCPU, 2GB RAM, 50GB
SSD, 100Mbps dedicated bandwidth, 300Mbps burstable.
-
Virtual Machine - Micro: 1 vCPU, 1GB RAM, 20GB SSD,
50Mbps dedicated bandwidth, 200Mbps burstable.
-
Virtual Machine - Lite: 1 vCPU, 1GB RAM, 15GB SSD,
10Mbps dedicated bandwidth, 100Mbps burstable.
Note: These descriptions outline the capabilities of
your chosen VM plan. While dedicated and burstable speeds are
provided, extremely prolonged or abusive usage that negatively impacts
the overall network may still be considered a violation of the general
Network Bandwidth Fair Use policy. Users requiring consistently high,
guaranteed bandwidth or specific transfer volumes should contact
support for custom arrangements.
3. S3 Storage Fair Use
S3-compatible storage offers free ingress (uploads) and free egress
(downloads) up to the amount of data you have stored. Excessive egress
that significantly exceeds your stored data volume may be subject to
additional fees or restrictions.
4. Enforcement
Beam Networks Cloud reserves the right to investigate suspected
violations of this AUP. While we do not actively monitor your content
or traffic (as detailed in our Privacy Policy), we will respond to
credible abuse complaints or detected violations that impact our
infrastructure or compliance obligations.
Upon detecting an AUP violation, Beam Networks Cloud may, at its sole
discretion, take actions including but not limited to: issuing
warnings, suspending the offending service, imposing bandwidth
restrictions, or immediately terminating the account without refund
or prior notice. We may also report illegal activities to relevant
authorities.
You acknowledge that termination due to AUP violations will result in
no refunds and permanent data deletion, for which Beam Networks Cloud
will not be liable.
5. Cooperation with Law Enforcement
Beam Networks Cloud will cooperate with legally binding requests from
law enforcement agencies as required by U.S. law, and within the
technical and physical limitations of our infrastructure and data
retention practices (see Privacy Policy for details). We do not
voluntarily share user data without a valid legal demand.
6. Changes to Policy
Beam Networks Cloud may modify this AUP at any time. Your continued
use of Services after changes are posted constitutes acceptance of the
revised AUP.
Privacy Policy

This Privacy Policy explains how Beam Networks Cloud collects, uses,
and protects your information when you use our website and services.
By accessing or using our services, you agree to the terms herein.
1. Information We Collect
We collect only essential information to provide and improve our
services:

Account Information: When you register, we collect
your full name, billing address, and your full email
address for account management, verification, and customer
service.

Payment Information: We do not directly store your
full credit card or payment details. Payments are processed by
secure third-party payment gateways (e.g., Stripe, PayPal), who
handle your sensitive financial data directly. We only receive
confirmation of payment and basic transaction identifiers from these
processors.

IP Address Logs: Your IP address may be logged for
up to one (1) month for security, abuse prevention,
and operational diagnostics. These logs help us identify and
mitigate threats, troubleshoot network issues, and enforce our
Acceptable Use Policy. We do not link these IPs to your browsing
history or content.

Service Usage Statistics: For Virtual Machine and S3
storage services, we collect basic, aggregated network usage
statistics (e.g., total ingress/egress volumes, storage capacity
used). This data is used solely to monitor resource consumption,
enforce fair use policies, and assist with billing. It does not
include logs of your activity content or browsing. These statistics
are permanently deleted when the associated service or account is
terminated.
2. Information We Do NOT Collect or Store
- Browsing history or content transmitted through our services.
- Connection timestamps or session durations for VM use.
- DNS queries or application usage data.
3. How We Use Your Information
- To provide, maintain, and improve our Services.
- To process transactions and manage your account.

To communicate with you about your services, invoices, and updates.

To prevent fraud and ensure the security of our network and
services.
- To comply with legal obligations.
4. Data Sharing and Disclosure
Beam Networks Cloud does not sell, rent, or trade your personal
information to third parties. We will only disclose your information
in the following limited circumstances:

Third-Party Service Providers: We use trusted
third-party services for payment processing, website hosting, and
support. These providers only access data necessary to perform their
functions and are bound by confidentiality obligations.

Legal Compliance: We will disclose information when
legally compelled to do so by a valid subpoena, court order, or
other legally enforceable demand from U.S. authorities. We will
notify you of such requests unless legally prohibited. Due to our
limited data retention practices, the information we can provide
will be restricted to what is legally required and technically
available (as noted in Section 1).

Protection of Rights: To protect the rights,
property, or safety of Beam Networks Cloud, our users, or the
public, or to enforce our Terms of Service and Acceptable Use
Policy.
5. Data Security
We implement reasonable technical and organizational measures to
protect your data from unauthorized access, use, or disclosure.
However, no method of transmission over the internet or electronic
storage is 100% secure. While we strive to protect your personal
information, we cannot guarantee its absolute security.
6. Data Retention
We retain account information for as long as your account is active or
as needed to provide Services and comply with legal obligations. IP
logs are deleted after one (1) month. Service usage statistics are
deleted upon service or account termination.
7. Your Choices and Rights
You can access and update your account information by logging into
your client portal. You may close your account at any time, subject
to our Billing and Termination Policy, which will result in deletion
of your associated data.
8. Changes to This Privacy Policy
We may update this Privacy Policy periodically. We will post the
revised policy on this page and update the "Last updated" date. Your
continued use of our Services after changes signifies your acceptance
of the updated Privacy Policy.

General Acceptance of Policies
By accessing, using, or continuing to use any services provided by
Beam Networks Cloud, you confirm that you have read, understood, and
agree to be legally bound by our Terms of Service, Acceptable Use
Policy, and Privacy Policy, including any future updates or
modifications. If you do not agree with these policies, you must
immediately discontinue use of all Beam Networks Cloud services. Your
continued use constitutes binding acceptance.
